These Managed Website Terms & Conditions apply specifically to the Stelo Design Managed Website service and should be read alongside the Stelo Design general Terms & Conditions. Where there is any conflict between these Managed Website Terms and the general Terms & Conditions, these Managed Website Terms will take precedence in relation to the Managed Website service.

1. The Service
The Managed Website subscription is provided for £45 per month and includes:

• Professional website design

• Website hosting

• Domain registration and connection (where applicable)

• Website maintenance

• Security updates

• Reasonable content updates

• Ongoing support
   

2. Payments
The subscription costs £45 per month, payable in advance.
 
Before your website is published, you will receive a secure payment link to set up your recurring monthly payment. Recurring card payments are the standard payment method. Direct Debit is available on request. Your website will be published once your first payment has been received.
 
Monthly payments will continue automatically until your subscription is cancelled. Invoices will be issued for your records.

3. No Minimum Contract
There is no minimum contract.
 
You may cancel your subscription at any time by providing written notice via email.
 
Cancellation will prevent the next monthly renewal, provided notice is received before the next billing date. The service will remain active until the end of the current paid billing period unless otherwise agreed.
 
Cancellation does not cancel any invoices or charges which became due before the cancellation date. No refunds will be provided for a billing period which has already begun.

Where a trial period has been agreed in writing, the agreed trial period will apply before the standard monthly subscription begins. Unless otherwise agreed, either party may end the service at the end of the trial period without further obligation.

4. Website Ownership
Until ownership transfers, all website files, design work and associated assets created specifically for the Client remain the property of Stelo Design, subject to the ownership transfer provisions below.

Stelo Design retains ownership of any reusable templates, design systems, code libraries and proprietary assets used to create the website. Ownership transfer applies only to the Client's completed website and content created specifically for the Client.
 
If the Client cancels within the first 6 months and does not purchase an ownership transfer, the website remains the property of Stelo Design and Stelo Design may remove the website from public access once the current paid service period ends.

If the Client wishes to retain the website after cancelling within the first 6 months, a £200 website ownership transfer fee will apply.

After 6 consecutive monthly subscription payments have been received, ownership of the completed website may be transferred to the Client free of charge upon cancellation and written request, provided all outstanding amounts have been paid.

Domain names purchased or registered by Stelo Design as part of the Managed Website service may be registered and managed through Stelo Design's accounts for the duration of the service.
 
Where ownership of the website is transferred to the Client in accordance with these Terms, any eligible domain registered specifically for that website may also be transferred to the Client, subject to applicable registrar requirements, transfer restrictions and all outstanding balances being paid.

5. Content Updates
Your subscription includes reasonable website updates, including:

• Updating text

• Replacing photographs

• Changing contact details

• Updating opening hours

• Adding or removing services

• Small layout adjustments
   

Reasonable content updates are intended to cover minor changes that can normally be completed within a short amount of time. Requests outside this scope may be quoted separately.

Large redesigns, additional pages, e-commerce functionality, booking systems, custom integrations or other bespoke development are not included and will be quoted separately.

Once the Client has approved the website for publication, any further design changes will be treated as content updates or additional work under this agreement unless otherwise agreed in writing.

Stelo Design reserves the right to determine whether a request falls within the scope of reasonable content updates.

6. Client Responsibilities
You are responsible for providing:

• Accurate business information

• Images and logos you have permission to use

• Any required written content

• Timely approval of website designs and requested changes
   

You confirm that any content supplied does not infringe copyright or trademark rights.

The Client is responsible for ensuring that all information supplied is accurate and up to date.

Stelo Design reserves the right to refuse or remove content that is unlawful, defamatory, misleading or infringes the intellectual property rights of others.

7. Hosting & Domain
Hosting is included whilst your subscription remains active.

Your domain name will be connected and managed as part of the service where applicable.

If your subscription ends, hosting and maintenance provided by Stelo Design will cease unless alternative arrangements have been agreed.

If the Client cancels before 6 consecutive monthly subscription payments have been received and does not purchase an ownership transfer, Stelo Design may remove the website from public access once the current paid billing period ends.

Where the Client is entitled to ownership under Section 4, they may request transfer of the website and any eligible domain in accordance with those provisions.

8. Overdue Payments & Suspension
Monthly payments must be paid by the due date shown on the invoice.
 
If payment remains outstanding for 14 days after the due date, Stelo Design reserves the right to suspend the Managed Website service, including hosting, website access, maintenance, updates and support, until all outstanding amounts have been paid.
 
If payment remains outstanding for 21 days after the due date, Stelo Design reserves the right to terminate the Managed Website service and permanently remove the website from public access.
 
Suspension or termination does not cancel any amounts which became due before suspension or termination. Any outstanding invoices for services already provided will remain due and payable.
 
Stelo Design reserves the right to pursue outstanding amounts through appropriate debt recovery procedures where necessary.

9. Liability
Whilst Stelo Design takes reasonable steps to keep websites available and secure, uninterrupted service cannot be guaranteed. Stelo Design will not be responsible for failures, interruptions or delays caused by circumstances outside its reasonable control, including third-party hosting providers, domain registrars, internet or power outages, third-party software failures, cyber attacks, malicious activity or other force majeure events.
 
Whilst Stelo Design takes reasonable steps to maintain backups, clients are responsible for retaining copies of any content supplied. Stelo Design cannot guarantee recovery of data following circumstances beyond its reasonable control.

Support is provided during normal business hours (9am - 5pm). Whilst Stelo Design aims to respond promptly to enquiries, specific response or resolution times are not guaranteed.

The Client is responsible for maintaining appropriate insurance and backups for any critical business operations that rely on the website.

Nothing in these Terms excludes or limits any liability which cannot legally be excluded or limited.

10. Intellectual Property
All intellectual property rights in reusable templates, code, systems, design elements and processes developed by Stelo Design remain the property of Stelo Design. The Client receives ownership only of the completed website and original content created specifically for their business, subject to the Website Ownership section of these Terms.

11. Termination
Stelo Design reserves the right to terminate this agreement where the Client repeatedly or materially breaches these Terms, provides unlawful content, engages in abusive or threatening behaviour towards Stelo Design, or otherwise uses the service unlawfully.
 
Termination resulting from overdue payments will normally follow the process outlined in Section 8.
 
In circumstances involving unlawful activity, abuse, security risks or other serious breaches, Stelo Design reserves the right to suspend or terminate the service immediately where reasonably necessary.
Termination does not affect any amounts which became due before termination.

12. Changes to These Terms
Stelo Design may update these Terms & Conditions from time to time where reasonably necessary. Where a change materially affects an existing ongoing service, clients will be given at least 30 days' written notice before the change takes effect.
 
Changes will not retrospectively alter payment obligations or other rights and obligations which arose before the updated Terms took effect.
 
Stelo Design may change the monthly subscription price by providing at least 30 days' written notice. Any revised pricing will apply from the next monthly billing date following the notice period.
 
The latest version of these Terms & Conditions will be available on the Stelo Design website.

13. Governing Law
These Terms & Conditions are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

Client information will be handled in accordance with the Stelo Design Privacy Policy available on the website.
